Stripe bid 53 billion dollars for PayPal, and in the same week stablecoin settlement got its clearing bank, its compliance rail and its card layer
Stablecoin settlement was funded, distributed, embedded and bid on inside four days.

On July 20, 2026, PayPal's board rejected a 53 billion dollar takeover bid from Stripe and private-equity firm Advent International, an offer whose entire logic was consolidating three stablecoin-payments franchises under one owner: PayPal's PYUSD, Stripe's Bridge platform and its Tempo blockchain. It was the largest number in a week that rebuilt the settlement layer of finance in public. Augustus raised 180 million dollars at a 1 billion dollar valuation to build an OCC-chartered stablecoin clearing bank. Ripple took a strategic stake in Notabene to place its RLUSD stablecoin across 2,300 institutions. Marqeta wired Zerohash stablecoin rails into a card platform that processed nearly 400 billion dollars in 2025. Above that rebuilt base, two flagship entrances landed the same week: Morgan Stanley won NYSE Arca listing approval for staked Ether and Solana ETPs, and Coinbase became the first US-listed company to hold a tokenized fund as onchain treasury. This is what Institutional Watch tracks each week: TradFi is here, and blockchain, DeFi and crypto are becoming the rails of new finance.
The week in one paragraph. Stablecoin settlement became a fundable, contested layer of institutional finance in a single week. Between July 20 and 23, 2026, it was priced at a 1 billion dollar valuation by Augustus, distributed across 2,300 institutions by Ripple and Notabene, embedded in nearly 400 billion dollars of card volume by Marqeta and Zerohash, and bid on at 53 billion dollars by Stripe, Advent and PayPal.
The week in five facts:
- Stripe and Advent's rejected 53 billion dollar PayPal bid, turned down on July 20, was built explicitly on consolidating PYUSD, Tempo and Bridge into one stablecoin-payments franchise.
- Augustus raised 180 million dollars at a 1 billion dollar valuation on July 21, led by Tiger Global, to build an OCC-chartered stablecoin clearing bank that has no live US product yet.
- Ripple took a strategic stake in the Travel Rule network Notabene on July 23 and wired RLUSD into it, days after RLUSD transfer volume fell about 25 percent.
- Morgan Stanley filed final registration and won NYSE Arca listing approval on July 22 for spot Ether and Solana staking ETPs, MSSE and MSOL, at a 0.14 percent fee with 95 percent of staking rewards passed through. The S-1 was not yet effective and the ETPs were not trading as of July 24.
- Mubadala Capital tokenized a roughly 75 million dollar private-markets fund across Base, Solana and Sui on July 23, and Coinbase held it on its own balance sheet, described as the first time a major US-listed company used regulated tokenized assets for native onchain treasury management.
The pattern: stablecoin settlement got funded, distributed, embedded and bid on in one week
A quarter ago, stablecoin settlement was a feature bolted onto issuers. Between July 20 and 23, 2026, four moves attacked four different seats in the same stack, and none of the four built its own rails from scratch. Augustus took 180 million dollars at a 1 billion dollar valuation to build a clearing bank on a conditional OCC charter. Ripple bought distribution into Notabene's 2,300 institutions rather than building a compliance network. Marqeta added Zerohash's rails to a platform that moved nearly 400 billion dollars last year. And Stripe and Advent tried to buy PayPal's PYUSD, Tempo and Bridge outright for 53 billion dollars.
What changed structurally is that the money now prices settlement as its own layer, not as a token feature. Tiger Global capitalized a clearing bank before it opens, and a 53 billion dollar bid valued three payment franchises as one consolidatable stablecoin asset. The GENIUS Act one-year rulemaking deadline passed on July 18 with no coordinated final rules, and the market moved anyway.
Here is the Meridial read. The two heaviest entrances of the week, Morgan Stanley's staking ETPs and Coinbase's tokenized-fund treasury holding, are the visible products. The settlement rail those products will eventually run on got priced, chartered, distributed and bid on in the same seven days. The firms selling into this stack are choosing partners against a field that just took capital and distribution.
Morgan Stanley won NYSE Arca listing approval for staked Ether and Solana ETPs
On July 22, 2026, the Morgan Stanley Ethereum Trust and the Morgan Stanley Solana Trust each filed an 8-A12B exchange-listing registration and an updated final prospectus, and NYSE Arca approved the applications to list the shares as MSSE and MSOL. Both carry a 0.14 percent management fee. The ether trust stakes roughly 50 to 80 percent of its holdings and the solana trust up to 100 percent, through Figment, Galaxy and Coinbase, with 95 percent of staking rewards accruing to the trust. Coinbase Custody and BNY are named custodians, and the ether trust tracks the CoinDesk Ether Benchmark.
The S-1 had not been declared effective and the ETPs were not trading as of July 24, so this is a listing-approved entrance, not a launch. A top-tier US bank bringing staked ETH and SOL ETPs to the exchange's doorstep turns staking yield from a differentiator into a published bar: 0.14 percent, 95 percent pass-through. That is the clearest single institutional entrance of the week, a spot-crypto product riding on the same institutional rails the settlement moves are rebuilding underneath.
Coinbase became the first US-listed company to hold a tokenized fund as treasury
On July 23, 2026, Mubadala Capital, the alternative-asset arm of Abu Dhabi's Mubadala Investment Company, tokenized its evergreen Alternative Solutions Fund across Base, Solana and Sui, drawing about 75 million dollars in onchain value at launch. Issuance, administration and multichain distribution run through KAIO, the ADGM-based platform that partnered with Mubadala Capital in December 2025. Coinbase added exposure to the tokenized product to its corporate balance sheet, which the partners called the first time a major US publicly listed company used regulated tokenized assets for native onchain treasury management. Coinbase's exposure size was not disclosed.
The heaviest signal here is not the 75 million dollars, it is a listed company treating a tokenized fund as treasury. Mubadala Capital manages over 60 billion dollars in alternatives, and the wider Mubadala group oversees around 430 billion dollars, so a sovereign-affiliated manager put private markets onchain and a US-listed company parked the result on its books. When a tokenized fund becomes a treasury line, onchain custody stops being a distribution question and becomes an accounting and audit one.
Augustus raised 180 million dollars at a 1 billion dollar valuation to build a stablecoin clearing bank
On July 21, 2026, Augustus raised a 180 million dollar Series B at a 1 billion dollar valuation, led by Tiger Global, with Hummingbird, QED and the founders of Nubank, Ramp, Circle and Deel participating. The company holds conditional OCC approval for a US national bank charter, granted in May 2026, and already clears euros through a regulated Finnish entity. It builds programmable, round-the-clock settlement across traditional rails and blockchains rather than issuing its own stablecoin. Kraken is a named customer.
CEO Ferdinand Dabitz said clearing banks will offer stablecoin rails within 10 years the way they offer Fedwire today. A 1 billion dollar valuation on an unlaunched US clearing bank is the market pricing the settlement seat before it opens. The charter, not the token, is the moat, and this is stablecoin settlement clearing the funding test in the same week the GENIUS Act rulemaking deadline passed without coordinated rules.
Ripple bought into Notabene to place RLUSD across 2,300 institutions
On July 23, 2026, Notabene announced a strategic investment from Ripple, terms undisclosed, and confirmed that Ripple USD will integrate into Notabene Flow, its B2B stablecoin-payments platform. Notabene operates the largest open network for Travel Rule compliant onchain transactions, spanning more than 2,300 institutions across over 100 jurisdictions and more than 2 trillion dollars in annualized volume. CoinDesk reported that RLUSD transfer volume had recently dropped about 25 percent, which frames the deal as a distribution and compliance boost.
The compliance layer is where stablecoin distribution is being won, not the token itself. Ripple buying into the Travel Rule network that touches 2,300 institutions is a distribution play wearing a compliance jacket, and every rival issuer now faces whether its stablecoin clears the same screening rail by default. RLUSD volume falling 25 percent is why the deal happened. Distribution problems get solved by buying the chokepoint, not by minting more supply.
Marqeta wired Zerohash stablecoin rails into card issuing at nearly 400 billion dollars of volume
On July 22, 2026, Zerohash and Marqeta announced a partnership integrating Zerohash's stablecoin infrastructure into Marqeta's card-issuing platform, letting Marqeta customers embed stablecoin-funded digital-dollar balances into card products spendable across global card networks. Marqeta processed nearly 400 billion dollars in payment volume in 2025. Zerohash reported 2025 transaction volume up 690 percent year over year and cited stablecoin monthly transaction volume of 7.2 trillion dollars in February 2026. The release did not name specific card networks or stablecoin tickers, so treat those specifics as pending.
Stablecoin funding moved from the card network down to the issuer-processor, which is where the vendor selection happens. Zerohash taking the settlement seat inside a platform that moved nearly 400 billion dollars last year means the next card program's stablecoin question is which processor, not whether. The unnamed networks and tickers are the tell that this is a capability announcement ahead of the named launches.
Stripe and Advent bid 53 billion dollars for PayPal, and got turned down
On July 15, 2026, Stripe and Advent International tabled a joint offer for PayPal at 60.50 dollars a share, valuing the company above 53 billion dollars, a roughly 28 percent premium backed by around 50 billion dollars of committed bank financing. On July 20, PayPal's board formally rejected the offer at a specially convened meeting, pushing for a higher price rather than issuing a final refusal. The strategic logic is stablecoin-payments consolidation: PayPal runs PYUSD, Stripe holds the Bridge platform and its own Tempo blockchain, and both firms sit inside the OpenUSD venture alongside Mastercard, Visa and BlackRock.
This is a rejected bid, not a closed move. The signal is that the two largest mainstream stablecoin-payments distributors nearly consolidated, which prices PYUSD plus Tempo plus Bridge as a single asset and raises the consolidation risk facing every independent stablecoin vendor. The rejection is a negotiating posture, not a no. Read the bid for what it is: stablecoin payments moved from feature to franchise this week.
Broadridge extended proxy voting to tokenized US equities on Alpaca
On July 20, 2026, Broadridge Financial Solutions and Alpaca integrated Broadridge's shareholder-governance infrastructure into Alpaca's Instant Tokenization Network. Holders of tokenized US equities gain proxy voting, investor communications, regulatory disclosures and voting-entitlement reconciliation through Broadridge's ProxyVote.com platform, while Alpaca provides regulated brokerage, custody and clearing. Broadridge states its platform serves more than 200 million retail and institutional accounts globally and reconciles voting rights across multiple blockchains.
This is the tokenization thread the week carries as support, and it pairs with the Mubadala flagship. The tokenized asset stopped being the deliverable; the post-trade and governance plumbing that makes it institutional became the point. Without proxy voting and shareholder disclosures, a tokenized share is not a share, and the incumbent that touches 200 million accounts now sets the parity bar.
Grayscale filed to list a spot Worldcoin ETF on the 41st-largest token
On July 20, 2026, Grayscale filed an S-1 for the Grayscale Worldcoin ETF, a Delaware statutory trust that would hold WLD directly and list on Nasdaq under ticker GWLD. BitGo Bank and Trust is named to custody the tokens, with Bank of New York Mellon as transfer agent and administrator. As of June 30, 2026, the filing cites WLD circulating supply near 3.5 billion tokens, a market value near 1.4 billion dollars, and rank as the 41st-largest digital asset. WLD rose roughly 8 percent within 24 hours of the filing.
Issuers have run through the majors and are now filing down the long tail. An S-1 on the 41st-largest token is early-stage and contingent on SEC review, not an effective product. It lands the same week Morgan Stanley won listing approval on ETH and SOL, which shows the ETP wave widening from the top of the market toward its edges.
What this means for the firms selling into these institutions
The same stack sits underneath the week's stablecoin moves: clearing, compliance, card funding, and the distribution layer above them. Firms still assuming they build these rails in-house are now choosing partners against incumbents that just took capital and distribution.
| Buyer category | Moves this week | What to watch |
|---|---|---|
| Stablecoin issuers | Ripple and Notabene, Stripe and PayPal | Whether default screening rails and a consolidating distribution layer close off placement |
| Payments and settlement providers | Augustus, Marqeta and Zerohash | Which conditional OCC charters convert to live US clearing, and which processors add stablecoin funding |
| Compliance providers | Ripple and Notabene | Whether Travel Rule screening standardizes around a single funded network |
| Custodians and fund admins | Mubadala and Coinbase | Tokenized funds held as treasury turning onchain custody into an accounting and audit question |
| Tokenization platforms | Broadridge and Alpaca, Mubadala | Governance and post-trade plumbing becoming the price of admission, not issuance |
The point is not a lost RFP this quarter. It is a settlement layer that got funded, distributed, embedded and bid on faster than most vendors updated their roadmaps.
What changes now
Stablecoin settlement stopped being a token story and became an infrastructure procurement story in one week. A clearing bank got a 1 billion dollar valuation, a compliance rail got a strategic investor, a card platform named its processor, and the distribution layer drew a 53 billion dollar bid. Morgan Stanley and Coinbase supplied the two headline entrances, but the rail those products will run on is the part that moved. Next week's Institutional Watch tracks whether PayPal counters the Stripe bid and whether Augustus converts its charter. Subscribe to get the pattern before it prices in.
Also in motion this week
BlackRock, Fidelity, Strategy and Coinbase formed a Bitcoin Security Consortium to fund post-quantum defense (July 23, 2026). Nine institutions, BlackRock, Coinbase, Strategy, Galaxy, Fidelity Digital Assets, Anchorage Digital, ARK Invest, Block and Blockstream, pledged 15 million dollars over three years to fund developers and post-quantum cryptography research, flagging that roughly 6.9 million bitcoin could be exposed if a sufficiently powerful quantum computer emerges. Each member directs its own capital, and the group stated it will not steer Bitcoin's protocol or take positions on proposed changes. This sits off the week's settlement pattern. At 15 million dollars across nine firms over three years it reads as a legitimacy signal rather than a procurement one: the largest institutional Bitcoin holders now treat the base layer's multi-decade security as their shared problem, which is what turns a holding into infrastructure. The near-term buy-side pull is narrow, confined to post-quantum cryptography and custody vendors.
Bank of China disclosed near 3 billion dollars in record mBridge CBDC settlements (July 22, 2026). The figure is verified and in-window, but the corridors are non-dollar and concentrated, so the direct pull for Western digital-asset providers is limited. A market-infrastructure data point on how fast the CBDC settlement layer is scaling in Asia, not a Western procurement signal.
Kraken's parent expanded tokenized stocks to Hong Kong, the UK and South Korea (July 22, 2026). A crypto-native issuer widening tokenized-equity access across three jurisdictions, with no named TradFi counterparty. It extends the tokenized-securities map that Broadridge and Alpaca reinforced on the governance side the same week.
US spot bitcoin and ether ETFs held net inflows across the window. Flow context rather than a discrete move, with no precise in-window figure available and no nameable procurement consequence. The plumbing kept advancing while directional demand stayed quieter.
