Four institutions bought their crypto stack in five days, and Goldman's cost up to 2.25 billion dollars
Two of the four had already announced the same capability under their own name and failed to ship it.

Goldman Sachs agreed on 12 August 2026 to pay up to 2.25 billion dollars for NEOS Investments, four months after registering its own bitcoin income ETF on 14 April. In the same five days Nasdaq bought LeveL Markets outright, Northern Trust licensed Lukka's data layer across more than 100 blockchains, and Bank Leumi signed Galaxy four years after moving to launch through PEPPER. Fidelity's filings show the same posture inside a fund wrapper: three custodians and three node operators contracted, none built. One institution did build, Franklin Templeton, and the SEC wrote that build into a twelve-condition no-action letter. TradFi is here, and blockchain, DeFi and crypto are becoming the rails of new finance.
Institutional Watch is Meridial's weekly record of that entrance. Meridial is the go-to-market system for digital assets, an agentic operating system for companies capturing the institutional wave: agents map the market, then run the content and outreach that reach it, operated alongside your team, and the close stays yours.
The week in one paragraph. Between 10 and 14 August 2026, four institutions committed to bought or licensed digital asset capability: Goldman Sachs for up to 2.25 billion dollars, Nasdaq for an undisclosed sum, Northern Trust under a data agreement, Bank Leumi under two. Two of the four had already announced the same capability under their own name and failed to ship it.
The week in three facts:
- Goldman's 2.25 billion dollars is a ceiling inclusive of performance and service commitments, not a price paid. The deal closes in the first quarter of 2027.
- Fidelity published the first number for institutional ETP staking: the trust keeps 85 percent of rewards and pays 15 percent across the sponsor, the custodians and the node operators.
- The SEC granted Franklin Templeton custody relief on 12 August and cancelled its Regulation Crypto meeting on 13 August with no new date.
The pattern: institutions bought their way onto the rails instead of building them
Four acquisitions or licensing deals landed between 10 and 14 August 2026, and two came from institutions with a failed attempt behind them. Goldman registered the Goldman Sachs Bitcoin Premium Income ETF on 14 April 2026, then agreed in August to pay up to 2.25 billion dollars for someone else's. Bank Leumi moved to launch crypto through PEPPER in 2022, shipped no live retail offering for four years, and signed Galaxy on 14 August. Nasdaq and Northern Trust had the capability in reach and still chose the counterparty: a stake held since 2021 converted in full, and a data layer licensed rather than normalized in house.
The market has spent a year telling itself that TradFi buys licences, custody and payment rails rather than building them. Four dated instances in five days is that story accelerating, not confirming it.
The mechanism is the same week's regulatory stall. The SEC had noticed an open meeting for 10:00 am Eastern on 14 August to propose Regulation Crypto and cancelled it at the end of 13 August with no new date. An institution cannot build against a rulebook that has no date. It can buy an entity already operating under the rulebook that exists, and each purchase takes a buyer out of the market and puts the acquired firm's contracts up for re-papering onto the acquirer's standards.
Goldman registered its own bitcoin income ETF in April, then agreed to buy someone else's for up to 2.25 billion dollars
Goldman Sachs announced on 12 August 2026 an agreement to acquire NEOS Investments for consideration of up to 2.25 billion dollars in cash and equity, subject to certain performance and service commitments. The number is a ceiling inclusive of an earnout, not a price paid, and the close is expected in the first quarter of 2027.
NEOS, founded in 2022 in Westport, Connecticut, managed 30 billion dollars across 19 options-based income ETFs as of 30 June 2026. Three are crypto funds. The NEOS Bitcoin High Income ETF held 1,102,196,496 dollars of net assets on 13 August at a 26.73 percent distribution rate, the Boosted Bitcoin High Income ETF roughly 111 million dollars, and the Ethereum High Income ETF over 77 million.
Goldman's April registration and its August agreement are the same decision priced four months apart. Roughly 1.29 billion dollars of crypto options-income assets changed hands at a number every ETF issuer below 5 billion should read as the going rate for distribution.
Nasdaq bought the third-largest US dark pool to run tokenized markets around the clock
Nasdaq announced a definitive agreement on 11 August 2026 to acquire LeveL Markets, LLC, the third-largest US alternative trading system by volume, with terms undisclosed. LeveL handles hundreds of millions of shares daily across more than 7,000 symbols for more than 2,500 clients, including more than 300 institutional buy-side firms, and grew average daily volume 56 percent year over year in 2025.
After closing, LeveL sits inside a newly created entity called Digital Liquidity Networks and remains a registered ATS under FINRA oversight. Roland Chai leads it. He has run Nasdaq's European Market Services business since 2023 and its digital assets strategy since early 2026, which puts one executive over both the continuous-markets problem and the tokenization one.
Nasdaq bought the venue rather than wait for the central securities depositories to agree on tokenized settlement standards. Two days after it committed that capital, the SEC cancelled the rulemaking that would underwrite always-on tokenized trading.
Fidelity named three custodians and three node operators, and priced the staking take at 15 percent
Fidelity Ethereum Fund filed a Form 8-K on 10 August 2026 disclosing that on 7 August the trust entered custodial services agreements with Anchorage Digital Bank NA, an OCC-regulated national trust bank, and with BitGo Bank and Trust, N.A. Its arrangements with Fidelity Digital Assets, N.A. are unaffected, taking it from one custodian to three.
The same filing discloses an amended sponsor agreement under which the trust retains 85 percent of staking rewards and pays 15 percent shared among the sponsor, the custodians and the node operators. The Form S-3/A that entered the record on 10 to 11 August names Blockdaemon, Figment and Galaxy Digital Trading Cayman LLC as intended node operators, provides for staking up to 100 percent of the fund's ether, and sells net rewards for cash quarterly.
Nothing is live. Staking cannot begin until the SEC declares the registration statement effective, and none had begun as of 12 August. The price is public: 15 percent gross, split three ways, on a service line institutional validators have quoted case by case until now.
A custodian with 20 trillion dollars under administration bought crypto data, not crypto custody
Northern Trust announced on 10 August 2026 an agreement with Lukka to deliver institutional digital asset data and reporting across more than 100 blockchains and more than 400 centralized and decentralized exchange sources. Lukka operates under AICPA SOC 1 Type II and SOC 2 Type II frameworks.
Northern Trust reported 20.0 trillion dollars in assets under custody and administration as of 30 June 2026, up 11 percent year over year, and 2.0 trillion dollars under management. Justin Chapman, its Group Head of Strategic Partnerships, is the named executive. The release gives no availability date, no contract value, and no extension into custody.
The ordering is the insight. Data carries no balance-sheet exposure and no private-key risk, so it clears a risk committee in a fraction of the time custody takes. Northern Trust has kept the two layers apart since it co-founded Zodia in 2020, and it just published the specification every other global custodian gets measured against.
Bank Leumi announced crypto trading in 2022, shipped nothing for four years, then bought the whole stack from Galaxy
Galaxy Digital and Bank Leumi announced on 14 August 2026 that Leumi will become the first bank in Israel to offer digital asset trading. Leumi will use GalaxyOne Institutional for trading and has signed a separate agreement for Galaxy's Custody Infrastructure platform, formerly GK8. Leumi and PEPPER users will buy, hold and sell Bitcoin, Ether and Solana inside a dedicated secured section of the Leumi Trade app, with the service expected in early 2027.
Leumi, founded in 1902, first moved to enable crypto trading through PEPPER in March 2022, with Paxos named as the partner, and that programme never produced a live retail offering. The 14 August release calling Leumi the first bank in Israel to offer digital asset trading is the confirmation that it did not. Two agreements replaced four years of work.
Galaxy now sits in three institutional stacks inside one window: Leumi's trading and custody, BNY's staking layer announced on 4 August, and Fidelity's node operator panel named on 10 August. The vendors are consolidating faster than the buyers are evaluating.
The SEC gave Franklin Templeton twelve conditions, and they read as a specification
The SEC Division of Investment Management issued a no-action letter on 12 August 2026 stating it would not recommend enforcement under Section 17(f) of the Investment Company Act, or under paragraphs (b), (e) and (f) of Rule 17f-2, if Franklin Templeton registered funds hold shares of the Franklin OnChain U.S. Government Money Fund for cash management, including securities lending collateral. That fund, consumer-branded BENJI, is a Rule 2a-7 government money market fund launched in 2021.
Franklin Templeton Investor Services maintains the master securityholder file through a system joining an internal book-entry record to one or more blockchains in real time, creates each fund's wallet on Stellar, and holds the private key under multi-signature and multi-party computation with distributed signers. The relief rests on a letter the staff issued to Franklin Investors Securities Trust on 24 September 1992, which addressed the same three paragraphs for an affiliated book-entry arrangement.
Twelve conditions come with it: three verifications of each fund's investments per fiscal year by its independent public accountants, two of them unannounced, transition of the administrative controls and smart-contract admin rights to any successor transfer agent, board approval and annual review, and daily reconciliation.
Franklin is the counterpoint that proves the week's pattern. It built on-chain transfer agency in house because nothing was for sale, and the SEC has now published what that build has to demonstrate. The relief is entity-specific, so the next applicant argues from precedent, not a rule.
KPMG signed an unqualified opinion on Tether International's 2025 accounts
Tether announced on 13 August 2026 that KPMG U.S. issued an unqualified audit opinion on the financial statements of Tether International, S.A. de C.V. for the year ended 31 December 2025. The statements report reserves exceeding liabilities by 6.814 billion dollars, against USDT that CoinDesk puts at roughly 180 billion dollars of market capitalisation. The audit covers the balance sheet, income statement, changes in equity and cash flows rather than a point-in-time attestation, and Tether states that KPMG physically counted every gold bar it holds.
The opinion names the El Salvador incorporated issuing entity, and the sources do not establish that it covers every USDT balance across every group entity. Nobody is asking that publicly yet.
The SEC cancelled Regulation Crypto one day before the meeting
The SEC had noticed an open meeting for 10:00 am Eastern on 14 August 2026 to propose Regulation Crypto, a tailored offering regime for certain investment contracts involving crypto assets. It cancelled the meeting on 13 August, citing an unforeseen scheduling issue and giving no new date. The innovation exemption for tokenized securities was deferred a second time in four months after being expected in May.
The objection on the record is not the regulator's. SIFMA argued in a letter of 30 June 2026 that structural changes of this kind should be made through an open and transparent process rather than through exemptions or no-action relief, naming best execution under Regulation NMS as applied to decentralized venues and automated market makers. Relief in 2026 is instead arriving entity by entity, on named facts, to named applicants. Franklin Templeton got its letter on 12 August, and the framework that would have made it unnecessary lost its date on 13 August.
What this means for the firms selling into these institutions
Three published numbers carry this week: Fidelity's 15 percent staking take split three ways, its 0.25 percent sponsor fee, and twelve conditions any 1940 Act complex can read as a control set.
Transfer agents, fund administrators and audit firms. Your move is the Franklin Templeton no-action letter of 12 August. Watch whether a second complex files for the same relief, and be ready to name which of the twelve conditions you can demonstrate today.
Staking providers, custodians and validator insurers. Your move is Fidelity's Form 8-K and Form S-3/A of 10 August. Watch the date the SEC declares the registration statement effective, because that is when the six-vendor panel fixes and the 15 percent is what you negotiate inside.
Data, analytics and reporting vendors. Your move is Northern Trust and Lukka on 10 August. Watch whether the other global custodians match the specification it just published: more than 100 chains, more than 400 venues, SOC 2 Type II.
What changes now
The build-versus-buy argument closed this week at four institutions with capital, two of them with a failed attempt behind them. That leaves a shorter market: fewer independent buyers of trading, custody and venue technology, and more contracts sitting inside acquirers waiting to be re-papered before the NEOS close.
The tape ran the other way in the same five days. US spot bitcoin ETFs were net negative across the four trading days in the window, roughly 300 million dollars against a complex holding 77.3 billion, while Goldman committed up to 2.25 billion to enter the category. Anyone reading four days of redemptions as a verdict on institutional demand is reading the wrong instrument. Next week's Institutional Watch tracks whether the SEC sets a new Regulation Crypto date and whether a second complex files for Franklin's relief. Subscribe to get the pattern before it prices in.
Also in motion this week
The OCC put a number on the charter queue. News Release 2026-67 of 11 August 2026 states the agency received 40 de novo applications in the last 18 months, including national trust banks, against an average of fewer than four a year from 2011 through 2014, with many decisions inside 120 days. Comptroller Jonathan V. Gould said entities in legally permissible activities, including those involving digital assets, should have a path to a national bank charter.
Africa Finance Corporation priced a CHF 350 million digital bond and banks took 57 percent of the book. The five-year issue, roughly 431 million dollars at a coupon of 1.4925 percent, is listed and traded on SIX Swiss Exchange and settled through SIX Digital Exchange, with Commerzbank as technical lead and Deutsche Bank AG London Branch as co-arranger. Bank treasuries taking the majority of a DLT-settled bond is the detail worth carrying.
Standard Chartered's Anchorpoint began the phased rollout of a Hong Kong dollar stablecoin. HKDAP went live on 12 August 2026 under an HKMA issuer licence effective 10 April, granted out of 36 applications, with HashKey Exchange the first authorised distributor and OSL the second. Hong Kong requires every stablecoin holder to be identified, which no US dollar issuer has had to solve.
MUFG will test tokenized Japanese government bonds for intraday repo. The proof of concept announced on 13 August 2026 runs on the Canton Network with Progmat and Digital Asset, keeping book-entry accounts synchronized with each digital twin to satisfy Japanese securities law.
About Meridial
Meridial is the go-to-market system for digital assets. The institutional wave is coming on-chain and most crypto teams were built to build, not to sell, so we close that gap with an agentic operating system: agents map your market and detect the timing, content earns the inbound and makes you the name AI tools cite, and outreach fires on signal rather than volume. Institutional Watch is that intelligence layer in public, published every week. The close stays yours.
